To register a company in India, each director and shareholder provides PAN, an identity proof, an address proof not older than two months and a photograph, and signs with a Digital Signature Certificate (DSC). The registered office needs a recent utility bill with a no-objection certificate (NOC) from the owner, plus a rent agreement if the premises are rented.
The company's own documents, the MoA, AoA and declarations, are generated inside the SPICe+ form. The checklists below separate what people provide from what the form creates, so nothing is missed on filing day.
Documents at a glance
Who or what | Documents |
|---|---|
Each Indian director and shareholder | PAN, identity proof, address proof (not older than two months), photograph, email and mobile |
Each foreign director or shareholder | Passport, address proof, and notarised or apostilled copies as applicable |
Corporate shareholder | Certificate of incorporation, board resolution authorising the investment and a signatory |
Registered office | Utility bill not older than two months, NOC from the owner, rent agreement if rented |
Signing | Class 3 DSC for every director and subscriber |
Generated in SPICe+ | e-MoA (INC-33), e-AoA (INC-34), INC-9 declarations, DIR-2 consent |
Documents from directors and shareholders
Each person who will be a director, a subscriber to the MoA, or both provides the same basic set. The details must match exactly across PAN, Aadhaar and the form.
Document | What is accepted |
|---|---|
PAN | Mandatory for Indian nationals; the name on PAN is treated as the correct legal name |
Identity proof | Aadhaar, passport, voter ID or driving licence |
Address proof | Bank statement, electricity, telephone or mobile bill in the person's name, not older than two months |
Photograph | Recent passport-size photograph |
Contact details | Personal email and mobile number for OTP verification |
DIN | If the person already holds one; otherwise DIN is allotted through SPICe+ for up to three directors |
The two-month rule catches many applications. A bank statement from four months ago fails even if the address has not changed, so download a fresh one on the day you prepare the file.
Foreign nationals and NRIs
A foreign national provides a passport as identity proof and an address proof such as a bank statement or utility bill. Documents issued abroad are notarised, and apostilled where the country is a party to the Hague Apostille Convention, or consularised by the Indian embassy where it is not. An NRI who is an Indian citizen can use the Indian documents above where available.
Corporate shareholders
When a company or LLP subscribes to shares, it provides its certificate of incorporation and a board resolution authorising the investment and naming the person who signs for it. That person's own identity documents and DSC are also needed.
Registered office documents
According to MCA's SPICe+ FAQs, the registered office proof is a copy of a utility bill not older than two months, with an NOC from the owner where the premises are not owned by the company. If the office address is not given at incorporation, it must be intimated in INC-22 within 30 days.
Situation | Documents to attach |
|---|---|
Premises owned by a director | Utility bill in the owner's name and an NOC from the owner to the company |
Rented premises | Rent agreement, utility bill in the landlord's name and an NOC from the landlord |
Co-working or shared space | Agreement with the operator, the operator's utility bill and NOC |
The address on the utility bill must match the address typed in SPICe+ Part B, down to the flat or shop number. The MCA SPICe+ FAQ lists the attachments it expects.
Documents generated inside SPICe+
Some documents are drafted as part of the online filing rather than collected from you.

Pre-filing checklist
Run these checks before anyone signs. Each one prevents a resubmission.
Match each person's name across PAN, Aadhaar and the form, including middle names.
Confirm every address proof is dated within the last two months.
Check the office address on the utility bill matches Part B exactly.
Get the owner's NOC signed on the date of filing, not months earlier.
Confirm every director and subscriber has an active Class 3 DSC.
Keep scans clear and complete; cropped or blurred copies are returned.
Our view: most delays in company registration are document problems, not legal ones. A name spelled differently on PAN and Aadhaar is a typical example, and it is fixed faster by correcting the Aadhaar record before filing than by explaining it to the Registrar afterwards.
DSCs for every director can be issued with the application through our DSC for company registration service. Send us the documents and our team will check them against the form. Talk to us about private limited company registration at ComplyLocal →
