Registered Office Change - From the Same Street to Another State

Relocated by Chartered Accountants. Not by courier alone.

Moving within the city is a board resolution and one form. Moving states is a Regional Director, two newspapers and your MoA. Four routes, four ladders of paperwork - we put you on the right one and climb it for you.

  • Same-city, same-state, ROC-to-ROC and state-shift routes separated first
  • MGT-14, INC-23, INC-28 and INC-22 sequenced in the correct order
  • GST, bank, PAN/TAN and license address updates mapped after MCA filing

How far are you moving?

Registered-office change ranges from days to months depending on whether the move crosses city, ROC or state lines.

Same city

Board resolution and INC-22 can close the move in days.

Same state, new city

Special resolution, MGT-14 and INC-22 usually take weeks.

ROC to ROC

INC-23, INC-28 and INC-22 can take 6-10 weeks in dual-ROC states.

State to state

MoA alteration, RD approval, INC-26 ads and notices make it a 3-5 month project.

Registered Office Change Services in India

Your registered office is where the law finds you - every ROC notice, every tax summons, every legal service lands at that address under Section 12. Changing it is one form or a five-month Regional Director proceeding, depending entirely on how far you move. We identify the route in the first call, sequence MGT-14, INC-23, INC-28 and INC-22 in the right order, and then update the dozen registrations that quietly point at your old address.

Four moves, four rulebooks

A registered office change is the shift of a company's statutory address under Section 12 of the Companies Act, 2013 - verified to the Registrar in Form INC-22 within 30 days, with the approval chain above it growing from a board resolution to a Regional Director order as the move crosses city, ROC and state lines.

Within the same city, the work is board resolution plus INC-22. Outside city limits in the same state, MGT-14 joins the chain. ROC-to-ROC moves in Maharashtra or Tamil Nadu need INC-23 and INC-28. State-to-state moves alter the MoA, advertise in two newspapers through INC-26, notify creditors and regulators, then file INC-28 and INC-22 after the RD order.

How a state shift actually runs

A state shift is a sequenced RD proceeding before INC-22 can verify the new address.

    Route confirmed

    Step 1

Move type, address proof and old records are audited before papers begin.

  2. 2

Special resolution is passed and filed within 30 days.

  3. 3

RD application goes with INC-26 advertisements and creditor/RoC notices.

  4. 4

    Step 4

Hearing and order are tracked until confirmation is issued.

  5. 5

    INC-28 then INC-22

    Step 5

Order and new address proof are filed in the correct order.

  6. 6

    Cascade updates

    Step 6

GST REG-14, bank, PAN/TAN, licenses and stationery are updated after MCA.

Where it breaks

Where moves get stuck

INC-22 and RD route failures usually come from stale proof, creditor issues or downstream address drift.

The risk

Old utility bill

A bill older than 2 months can kill INC-22.

How we handle it

We verify address proof freshness before filing.

The risk

Creditor objection

A state shift reaches RD stage without creditor readiness.

How we handle it

We prepare creditor notices and responses.

The risk

GST not amended

E-way bills and invoices fail from the new address.

How we handle it

We map GST REG-14 after MCA approval.

The risk

Old invoice address

Section 12 display default can accrue at Rs.1,000/day.

How we handle it

We include stationery and display updates in the checklist.

Registry risk

The address on file is the address that counts

Companies move and forget to tell the Registrar - until a notice is 'served' at an office they vacated two years ago, and a default they never saw becomes an order they can't appeal. The new MGT-7 even wants a photograph of the office with coordinates. The register doesn't tolerate fiction anymore; neither should your paperwork.

Documents

The relocation pack

The proof pack changes with the route, but INC-22 always starts with a legally usable address.

  • Ownership deed or rent agreement
  • Utility bill not older than 2 months
  • Owner NOC
  • Board resolution
  • Special resolution
  • List of creditors
  • Latest financials
  • INC-26 advertisement proof and DSCs

We confirm the final list after checking the company's master data, DIN status, DSC validity, and prior-year ROC filings.
