A registered office change is the shift of a company's statutory address under Section 12 of the Companies Act, 2013 - verified to the Registrar in Form INC-22 within 30 days, with the approval chain above it growing from a board resolution to a Regional Director order as the move crosses city, ROC and state lines.
Within the same city, the work is board resolution plus INC-22. Outside city limits in the same state, MGT-14 joins the chain. ROC-to-ROC moves in Maharashtra or Tamil Nadu need INC-23 and INC-28. State-to-state moves alter the MoA, advertise in two newspapers through INC-26, notify creditors and regulators, then file INC-28 and INC-22 after the RD order.
